CSPGreen Program Agreement

This agreement with Cool Springs Press, LLC, herein referred to as "CSP", contains the terms and conditions that apply to the member, an individual or entity participating in the CSPGreen Garden Retailer Program, herein referred to as the "Member" or "you."

Member Participation

You agree to participate in the CSPGreen Garden Retailer Program, herein referred to as "CSPGreen" or "the program," for twelve (12) full calendar months following the date you sign this agreement.

Program Content Usage

Content provided through the program is provided to you for the sole use of your consumer education and/or marketing initiatives. Content can be used on your websites or blogs within the widgets provided with the program, in electronic or print newsletters, or in other marketing materials. You are not permitted to distribute or share program content to any entity other than your current or potential customers. You are not allowed to resell the program content in any form. You agree not to modify or edit program content and to include the author and/or content source references as identified with the content, and reference as the source of the content as "Cool Springs Press".

CSP or its respective partners maintain the ownership and copyright of all program content.

Depending upon the program level you select at signing, you authorize CSP to automatically charge your credit card the amount you have agreed is due each month.

Online Book Sales

Participation in the CSPGreen includes a partnership between you and CSP for the purpose of providing you with access to sell gardening books online through our online home and garden bookstore, should you choose to participate.

CSP agrees to provide you with book sales links and widgets to use on your website or blog, and is responsible for all aspects of processing and fulfillment including processing orders, payments, cancellations and returns, and customer service. Subject to the terms of this agreement, you will earn sales commissions of five percent (5%) of the subtotal sales amount on orders originating from new or by your returning customers. Commissions are not paid on amounts collected for shipping, taxes, or other charges and order fees. CSP will send you payment for the commissions earned approximately thirty (30) days from the end of the each calendar quarter. CSP will accrue and hold payments until a commission check exceeds fifty dollars ($50.00) or more.

You will receive sales commission on all sales for the life of a referred customer's email as long as your CSPGreen agreement is active. Commission payments will terminate immediately following termination of this agreement by either party.

Acceptability of Your Website or Blog

You are solely responsible for the operation of the your websites or blogs that use CSPGreen content or that provides links to online book sales. You are responsible for the accuracy and appropriateness of materials posted on your sites and all product-related materials and appropriateness of the use of the CSP materials on your sites. CSP has the right to review your websites and/or blogs and will terminate this agreement should CSP determine unacceptable use of the material posted.

Terms of Use

This agreement will grant you a nonexclusive, revocable use of CSPGreen content or affiliation with our online retail site. Upon termination of this agreement, you will immediately cease to use all program content and links to online book sales.

Agreement Modification

CSP has the right to modify the terms and conditions of this agreement at any time after providing you a sixty (60) day notice. CSP may modify the fee schedules, payment procedures, and program rules. CSP may assign or otherwise transfer this agreement and any and all terms of this agreement.

Sales Tax Law

CSP may be obligated by United States federal law to obtain tax information from participants who are U.S. citizens, U.S. residents, or U.S. corporations and from participants who are not U.S. citizens or residents but whose businesses are taxable in the United States. If CSP believes that you are a participant from which CSP is obligated to obtain tax information, and you do not provide this information after CSP has requested it, CSP may terminate this agreement and withhold referral fee payments until such information is provided or you otherwise satisfy CSP that you are not a person from whom tax information is required.


CSP makes no guarantee that CSPGreen or any content feeds will be uninterrupted or error free and will not be held liable for any interruptions.


The parties to this Agreement agree that if any dispute including actual or alleged breach arises out of, or relating to, any transaction or activity under this Agreement, and if said dispute cannot be resolved through negotiation between the parties, the parties shall first attempt in good faith to resolve the dispute through mediation in Minneapolis, Minnesota, with the appointment of an independent neutral mediator, who shall be acceptable to both parties. Such mediation shall be demanded by written notice. The mediation shall take place within sixty (60) days of selection of the mediator(s). The commercial mediation rules of the American Arbitration Association may, at the discretion of the neutral mediator, control the terms of any such mediation. The parties shall share equally in the cost of the mediation. In the event that the mediation fails to result in a settlement of the dispute, either party shall then be free to seek whatever additional action, including remedies through the courts, as it deems appropriate. However, mediator's award shall be binding Jurisdiction. This Agreement has been entered into in the state of Minnesota and shall be construed in accordance with the laws of said state. The parties agree that all disputes and matters whatsoever arising under, in connection with or incident to this Agreement shall be litigated, if at all, in and before a Court located in Minneapolis, Minnesota, to the exclusion of any other county and state.


This Agreement constitutes the entire agreement and understanding of the CSPGreen at this time. You acknowledge that you have read this agreement and agree to its terms and conditions and understand that CSP has the right to modify this agreement after providing a sixty (60) day notice.
